ARTICLE 1: NAME
The name of this organization shall be PALMETTO PERSONAL COMPUTER CLUB, hereafter referred to as the “PPCC”.

ARTICLE 2: PURPOSE
Section 1. The purposes of the PPCC are as follows:
a.    To provide a forum for users of personal computers, hereafter referred to as “PC”, systems for their mutual benefit, increased understanding, and better utilization.
b.    To encourage research in the current and potential uses of the PC. 
c.    To provide an opportunity for all PC users and other interested people to exchange ideas, knowledge, and experience for the enrichment of all concerned.
d.    To provide an opportunity for education and applications, hardware, and software.
e.    To provide communication with other user groups.
f.    To provide opportunities for the formation of special interest groups (SIGs).
g.    To provide a medium for the exchange of public domain, user-supported freeware, shareware, and contributed software.  The illegal copying, use, or distribution of software will not be tolerated.
h.    Provide reviews of products to assist members in acquiring computer hardware and software.
i.    To promote the effective interchange of ideas between members and vendors of PC hardware and software.

ARTICLE 3: MEMBERSHIP
Section 1. Membership in this organization is open to any individual interested in PCs.

Section 2. Guests may attend the monthly meeting twice within one year prior to joining PPCC.

Section 3.  Membership may be suspended or revoked by a minimum vote of six members of the Board of Directors in concurrence with the action.

ARTICLE 4:  RIGHTS OF MEMBERSHIP
Section 1. An individual member is defined as a “dues-paying individual”, herein referred to as “member”.  Each member is entitled to participation in activities reserved for members of PPCC as defined by the Board of Directors. 

Section 2. Each member is entitled to one copy of the PPCC’s publication(s) as defined by the Board of Directors.

Section 3.  Each member is entitled to cast one vote in any election or PPCC activity that requires general membership approval.

ARTICLE 5: DUES
Section 1. Dues shall be collected annually from members as specified in the Bylaws.

ARTICLE 6: OFFICERS
Section 1. Officers of the PPCC shall consist of the following: 
a.    President
b.    Vice President
c.    Secretary/Treasurer

Section 2. The term of office for all offices is one year.

Section 3. With the concurrence of the Board of Directors, the officers shall execute the daily business of the PPCC as provided in the Bylaws.

ARTICLE 7: BOARD OF DIRECTORS
Section 1. The Board of Directors shall consist of the four elected officers, the Past President, and three elected directors.  The three elected directors can consist of:
a.    Public Information Director,
b.    Special Interest Group Director,
c.    Membership Director,
d.    Special Projects Director

Section 2. The term of the Board of Directors shall be one year and will coincide with the term of the elected officers.

Section 3. In all Board of Directors’ decisions, each individual Board Member present shall cast one vote.  A quorum of Board of Directors, as defined in the Bylaws is required for a vote on any subject.

ARTICLE 8: GENERAL MEETINGS
Section 1. General meetings shall be held monthly, or as directed by the Board of Directors.

ARTICLE 9: BOARD OF DIRECTORS MEETINGS
Section 1.  Board of Directors meetings shall be held monthly or as director by the Board of Directors.

ARTICLE 10: ELECTIONS
Section 1. Elections for PPCC officers and Directors shall be held annually and shall be conducted according to the PPCC Bylaws.

Section 2. Candidates shall be PPCC members in good standing who desire to serve and agree to fulfill the functions of the office if elected.

ARTICLE 11: FISCAL CONSIDERATIONS
Section 1. The PPCC shall be a not-for-profit organization according to Section 501 (c) 6 of the Internal Revenue Code of 1954.

Section 2.  An independent audit of the PPCC’s  financial records shall be made annually by individuals designated by the Board of Directors.  The audit report shall be presented at the November Board of Directors meeting and summarized for publication to the general membership in December.

Section 3. In the event of the dissolution of the PPCC, all assets shall be transferred in accordance with Applicable US Code and South Carolina state law to a not-for-profit organization selected by the Board of Directors.

ARTICLE 12: STANDING RULES
Section 1. Any rules for the general government of the PPCC not specifically covered in the articles of the Constitution shall be set forth in the Bylaws.

Section 2.  No Bylaws or other rules of the PPCC shall take precedence over this Constitution.

ARTICLE 13:  CONFLICT OF INTERST

Section 1.  No member of the Board of Directors may accept any pay for serving as a member of the Board of Directors.

Section 2. The terms of any non-recurring financial agreement between the PPCC and a past or present member must be full disclosed to the general membership at the next general meeting.

Section 3. Any member of the Board of Directors who has a material interest in an issue being decide by the Board of Directors may not vote on questions related to that issue.

ARTICLE 14:  AMEMDMENTS
Section 1.  A general or special meeting of the membership shall be called by the Board of Directors for the purpose of amending this Constitution.  An official mail ballot, when authorized and approved by the Board of Directors, shall constitute a special meeting for purpose of amending this Constitution or the PPCC Bylaws.

Section 2.  Each members may cast one vote on the proposed amendments.

Section 3.  This Constitution may be amended only by a two-thirds vote of those voting at the meting Designated in Section 1 of this Article.
   
Section 4.  Notice of proposed amendments must be published to al members prior to the meeting designated in Sections 1 of this Article.

ARTICLE 15:  VALIDITY
Section 1. The invalidity of any part of this Constitution shall not impair or otherwise affect in any manner the validity, enforceability, or intent of the balance of this Constitution.

ARTICLE 16:  RATIFICATION OF CONSTITUTION AND BYLAWS.
Section 1.  A general or special meeting of the membership shall be called by the Board of Directors for the purpose of ratifying this Constitution and/or the PPCC Bylaws.

Section 2.  The Constitution and /or Bylaws shall be published and distributed to the PPCC general membership prior to the meeting designated in Section 1 of this Article.

Section 3.  This Constitution and/or the PPCC Bylaws shall be ratified only by a majority vote of all eligible members present and voting at the meeting designated in Section 1 of this Article.

Section 4.  This Constitution and Bylaws is equivalent to the Bylaws as defined in the Article of Incorporation.


We, the undersigned, do hereby certify, in our official capacity as duly elected officers of the Palmetto Personal Computer Club that this Constitution has been properly ratified by the general membership of the PPCC according to the provisions contained herein.
